7.2 Indemnity

Supplier shall indemnify, defend, and hold harmless the Indemnified Parties from and against any Loss arising out of: (a) Supplier’s unauthorized use or disclosure of Confidential Information; (b) Supplier’s breach of Section 7.1; or (c) any claim that the Services infringe a third party’s intellectual property rights, except to the extent the claim arises from Customer Materials.

The duty in this Section 7.2 does not apply to Loss caused by Customer’s gross negligence or willful misconduct. Supplier’s obligation to defend is conditioned on prompt written notice, exclusive control of the defense, and reasonable cooperation at Supplier’s expense.

For the avoidance of doubt, Confidential Information, Indemnified Parties, and Loss have the meanings given in Section 1.

1.4 Confidential Information

means all non-public information disclosed by or on behalf of Customer, whether in written, electronic, or oral form, including statements of work, pricing, customer lists, and the existence and terms of this Agreement. Confidential Information does not include information that: (a) is or becomes public other than by a breach of this Agreement; (b) was rightfully in Supplier’s possession without a duty of confidentiality before disclosure; (c) is independently developed without use of Confidential Information; or (d) is rightfully received from a third party without a duty of confidentiality.

1.5 Indemnified Parties means Customer and its officers, directors, employees, and affiliates.

1.6 Loss means reasonable attorneys’ fees, damages, and amounts paid in settlement of a claim described in Section 7.2.
